1. Acceptance of Terms

Welcome to Twindle. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TWINDLE PRIVATE LIMITED ("Twindle," "we," "us," or "our"), a company registered in India, governing your access to and use of the Twindle website at twindle.app, our mobile applications, social platforms, event tools, live experience services, and any related products or services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use our Services. By using the Services, you represent and warrant that you meet this age requirement.

2. Use of Services

Twindle provides technology-driven social platforms, event management tools, and live experience hosting services. We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services in accordance with these Terms.

You agree to use the Services only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, and without liability to you.

Certain features of the Services may be subject to additional terms, conditions, or fees. In such cases, those additional terms will be presented to you before you access the relevant feature and will be incorporated into these Terms by reference.

3. User Accounts

To access certain features of the Services, you may be required to create an account. When you create an account, you agree to:

• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account

The Twindle name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of TWINDLE PRIVATE LIMITED. You may not use such marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Services or any content therein, other than the limited license to use the Services as expressly set forth herein.

5. User Content

Our Services may allow you to post, upload, submit, store, send, or receive content, including but not limited to text, photos, videos, audio, and other materials ("User Content"). You retain ownership of any intellectual property rights you hold in your User Content.

By submitting User Content to our Services, you grant Twindle a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and Twindle's business operations, including for the purposes of promoting and redistributing part or all of the Services.

You represent and warrant that you own or have the necessary rights to submit your User Content, and that your User Content does not violate any third party's rights, including intellectual property, privacy, or publicity rights.

We reserve the right, but are not obligated, to review, monitor, edit, or remove any User Content at our sole discretion and for any reason, including content that we believe violates these Terms or is otherwise objectionable.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Copying, distributing, or disclosing any part of the Services in any medium
• Using any automated system, including bots, spiders, or scrapers, to access the Services
• Attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Services
• Uploading invalid data, viruses, worms, or other malicious software through the Services
• Impersonating another person or entity, or falsely stating or misrepresenting your affiliation with a person or entity
• Harassing, abusing, threatening, or inciting violence towards any individual or group
• Using the Services for any illegal or unauthorized purpose
• Interfering with or disrupting the Services or the servers or networks connected to the Services
• Collecting or storing personal data of other users without their express consent
• Reverse engineering, decompiling, or disassembling any aspect of the Services

Violation of any of these restrictions may result in immediate termination of your access to the Services.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TWINDLE PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In jurisdictions where limitations of liability for consequential or incidental damages are not permitted, our liability shall be limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless TWINDLE PRIVATE LIMITED, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, your User Content, or your violation of any rights of a third party.

9. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on our website and updating the "Last updated" date at the top of this page.

Your continued use of the Services after any changes to the Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any changes.
